Terms of Service

1. Acceptance of these terms

If a user does not agree to these Terms of Service, the user must not access or use the relevant services. Additional terms may apply to specific subscriptions, managed services, order forms, proposals, or statements of work, and those additional terms will govern to the extent they conflict with these general terms.

2. The services

Adept AI Inc. may provide website content, workforce intelligence tools, assessments, recruiting support, communications workflows, scheduling support, advisory services, and related software-enabled or service-enabled offerings. Features, workflows, and availability may change over time.

Certain services may be provided directly to a customer organization, while other interactions may involve candidates, applicants, interview participants, recruiters, or authorized representatives using Adept AI Inc. systems or workflows.

3. Eligibility, accounts, and user responsibilities

Users must provide accurate, current, and complete information when creating accounts, submitting forms, requesting services, or participating in recruiting workflows. Users are responsible for safeguarding their credentials, devices, and any access granted under their account.

Users are responsible for ensuring that any information, documents, phone numbers, or personal data they provide to Adept AI Inc. are lawful to share and accurate for the intended workflow.

4. Permitted use

Users may use the services only for lawful business, recruiting, workforce, support, or informational purposes consistent with these terms and any applicable written agreement. Users must comply with applicable privacy, employment, anti-spam, telecommunications, and data-protection laws when interacting with the services.

5. Prohibited use

• Using the services for unlawful, deceptive, infringing, abusive, or discriminatory purposes.
• Attempting to gain unauthorized access to systems, accounts, data, models, or workflows.
• Interfering with service availability, security, or integrity.
• Uploading or transmitting content that Adept AI Inc. is not authorized to process.
• Using service outputs as the sole basis for decisions where human review or legal compliance is required.

6. Commercial terms

If a user or customer purchases a subscription, managed service, assessment, or other paid offering from Adept AI Inc., the applicable pricing, billing cadence, payment method, renewal terms, cancellation terms, refund treatment, taxes, and scope of services will be determined by the relevant checkout flow, order form, proposal, invoice, or written agreement.

Unless otherwise stated in a written agreement or required by law, fees paid to Adept AI Inc. are non-refundable once the applicable service period or work has begun.

7. Recruiting, applications, and communications workflows

Adept AI Inc. may facilitate communications relating to candidates, applicants, interview participants, recruiters, employers, or customer teams. Those workflows may include job applications, interview scheduling, reminders, account verification, and other operational communications.

Users remain responsible for decisions they make, information they submit, and instructions they provide through the services. Adept AI Inc. does not guarantee any hiring result, interview outcome, employment placement, business decision, or operational outcome.

8. Data, privacy, and confidentiality

Use of the services is subject to the Adept AI Inc. Privacy Policy. Users retain responsibility for the legality, accuracy, and appropriateness of data they submit. Where Adept AI Inc. processes information on behalf of a customer or employer, additional contractual privacy or data-processing obligations may apply.

Each party must use reasonable care to protect confidential information received from the other party and may use that confidential information only as permitted by these terms, applicable law, or a governing written agreement.

9. SMS Messaging Program Terms

Adept AI Inc. operates an SMS messaging program to support account access and verification, authentication and security, recruiting activities, job applications, interview scheduling, and account or service notifications.

• Users may receive account verification messages.
• Users may receive OTP authentication messages and account security notifications.
• Users may receive recruiter communications.
• Users may receive interview scheduling notifications and reminders.
• Users may receive job application status updates, account alerts, and service-related notifications.

Users must provide prior express consent before receiving SMS messages. By providing a mobile number and opting in, the user agrees to receive text messages from Adept AI Inc. related to the user's account, recruiting activities, job applications, interviews, security, or other requested services. Messages may be sent using automated or non-automated technology where applicable.

Consent to receive SMS messages is not a condition of purchasing any product or service. Where applicable, the user agrees to receive recurring automated or non-automated text messages tied to the services, requests, or workflows the user has chosen to use.

Message frequency varies depending on account activity, job application activity, recruiter interactions, interview activity, support activity, and other platform interactions. Message and data rates may apply.

Reply STOP to cancel or unsubscribe from SMS communications. Reply HELP for assistance. Users may also contact Adept AI Inc. through info@adeptaipro.com or the Adept contact page for support.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All OPT-IN requests include text messaging originator opt-in data and consent; this information will not be shared with any third parties or affiliates, excluding aggregators and providers of the text message services. Adept AI Inc. does not sell or share SMS opt-in data or messaging consent records. Adept AI Inc. does not use its SMS program to deliver third-party marketing or promotional content. Mobile carriers are not responsible or liable for delayed or undelivered messages.

• Users are responsible for providing an accurate and valid mobile phone number.
• Users are responsible for updating their contact information if their mobile number changes.
• Users are responsible for ensuring they are the owner or authorized user of the mobile number provided.
• Users are responsible for ensuring they have authority to provide consent for messages sent to that number.

Users may opt out at any time by replying STOP. After opting out, users may no longer receive important SMS notifications related to account verification, security, recruiting communications, job applications, interview scheduling, or other account-related activity. Where appropriate, Adept AI Inc. may continue to communicate through other available channels, including email or in-product notices.

10. Intellectual property

Adept AI Inc. and its licensors retain all rights, title, and interest in the services, including related software, content, workflows, branding, and materials, except for user-provided content and rights expressly granted by written agreement.

11. Disclaimers and limitation of liability

To the maximum extent permitted by law, the services are provided on an as-is and as-available basis without warranties of any kind, whether express or implied. Adept AI Inc. does not warrant uninterrupted availability, complete accuracy, or error-free operation.

To the maximum extent permitted by law, Adept AI Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities. Any aggregate liability of Adept AI Inc. arising out of or relating to the services will be limited to the amount paid to Adept AI Inc. for the applicable services during the 12 months preceding the event giving rise to the claim, unless a different limit is required by law or stated in a governing written agreement.

12. Indemnity

Users agree to defend, indemnify, and hold harmless Adept AI Inc. from claims, damages, liabilities, and expenses arising out of unlawful use of the services, submitted content or data, violation of these terms, or infringement of rights caused by the user or the user's authorized representatives, except to the extent caused by Adept AI Inc.'s own breach of law or contract.

13. Governing law and disputes

These Terms of Service are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Unless a different forum is required by law or specified in a written agreement, disputes arising out of or relating to the services will be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to these terms

Adept AI Inc. may revise these Terms of Service from time to time. The updated version becomes effective on the date shown at the top of this page. Continued use of the services after an update takes effect means the user accepts the revised terms, subject to any additional notice required by law.
